These Terms of Service (“Terms”) govern your access to and use of the Smart Boost Tutoring website at www.smartboosttutoring.com (the “Site”) and the tutoring, educational programs, test preparation, classes, materials, communications, and related services offered by Smart Boost Tutoring, a program of Luminate Brands (“Smart Boost Tutoring,” “Company,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing the Site, submitting a form, creating an account, booking a consultation or success session, enrolling in tutoring or a class, purchasing materials, or otherwise using the Services, you agree to these Terms.

If you do not agree to these Terms, you should not use the Site or Services.


1. Company Information

Customer Support: Available through the Customer Support section of the Smart Boost Tutoring website, through the online support chat, or through your assigned tutoring coordinator if you are an enrolled tutoring client.


2. Eligibility and Minors

The Services are primarily designed to provide educational support to school-age students and test-preparation students.

Purchases, enrollment agreements, account management, payment authorization, contractual consent, and SMS consent must be completed by an individual who is at least 18 years old.

If Services are purchased or arranged for a student under 18, the student's parent or legal guardian must provide the necessary consent and agrees to:

Have the legal authority to enroll the student;

Accept these Terms on the student's behalf;

Be responsible for payments and account obligations associated with the Services; and

Provide appropriate supervision and consent where required.

Students under 18 may participate in tutoring and educational Services with the authorization of their parent or legal guardian.


3. Services Provided

Smart Boost Tutoring provides educational services that may include:

K–12 reading tutoring;

K–12 mathematics tutoring;

Customized tutoring plans based on identified learning needs and knowledge gaps;

Diagnostic educational assessments;

Customized practice materials;

Homework support when included with the applicable tutoring program;

ACT and SAT preparation;

ACT/SAT preparation classes and bootcamps;

Individualized ACT/SAT tutoring;

Virtual tutoring sessions;

Educational materials and study resources; and

Complimentary educational or student success consultations when offered.

Some tutoring memberships may also include access to optional in-person pop-up learning opportunities when and where made available by Smart Boost Tutoring.

Services, availability, schedules, program features, and enrollment opportunities may change from time to time.


4. Tutoring Sessions and Scheduling

4.1 Scheduling

Tutoring sessions and educational appointments may be scheduled through Smart Boost Tutoring's scheduling systems, tutoring portal, or directly with an assigned tutoring coordinator.

Clients are responsible for providing accurate contact and scheduling information and for attending scheduled sessions at the agreed time.

4.2 Session Length

A standard Smart Boost Tutoring session is generally 60 minutes.

Certain services, including diagnostic testing or assessments, may require a different amount of time depending on the student and the applicable activity.

4.3 Virtual Services

Smart Boost Tutoring primarily provides tutoring through virtual learning environments.

Students and parents are responsible for maintaining compatible devices, sufficient internet connectivity, and reasonable access to any technology required to participate in virtual sessions.

Smart Boost Tutoring is not responsible for disruptions caused by internet providers, device failures, third-party platforms, or other technical issues outside our reasonable control.


5. Tutoring Memberships

Smart Boost Tutoring tutoring memberships currently require a minimum initial commitment of three (3) months.

After completion of the initial three-month period, the tutoring membership continues on a month-to-month basis unless canceled.

Membership features, frequency of tutoring, included materials, available tutoring support, and applicable pricing will be communicated during enrollment or through the applicable enrollment materials.


6. Fees, Billing, and Educational Materials

6.1 Fees

Pricing for paid Services, tutoring memberships, educational materials, or other offerings will be disclosed during enrollment, registration, consultation, or checkout.

You agree to pay the fees presented and accepted when enrolling in or purchasing the applicable Service.

6.2 Test Preparation Classes and Materials

Smart Boost Tutoring may offer ACT/SAT test preparation instruction, including its Basic Test Prep Bootcamp, at no instructional charge when the required or selected educational materials are purchased, as described in the applicable offer.

Educational materials may include physical or virtual resources.

Delivery timing may vary depending on the material. Certain customized physical materials may be prepared after an initial class or assessment so they can be tailored to the student's results.

6.3 Payment Authorization

When you purchase a paid Service, you authorize Smart Boost Tutoring and its applicable payment service providers to process the charges disclosed to you at enrollment or checkout.

Any recurring billing arrangement will be disclosed as part of the applicable tutoring membership or enrollment process.


7. Membership Cancellation

Tutoring memberships require an initial minimum commitment of three (3) months.

Following the initial commitment period, memberships continue month-to-month.

To cancel a month-to-month tutoring membership, you must provide Smart Boost Tutoring with at least 15 days' notice.

Cancellation requests should be submitted through your assigned tutoring coordinator or Smart Boost Tutoring Customer Support.

Cancellation does not automatically entitle a customer to a refund for Services, membership periods, materials, or other charges already provided or incurred before the effective cancellation date, except where required by applicable law or expressly provided under an applicable Smart Boost Tutoring written guarantee.


8. Smart Boost Guarantees and Educational Results

Smart Boost Tutoring may advertise specific educational performance or score-improvement guarantees for qualifying programs.

Any such guarantee applies only when it is expressly offered in writing as part of the applicable tutoring or test-preparation program and remains subject to the eligibility requirements, student participation requirements, testing requirements, program duration, attendance expectations, documentation requirements, and other conditions communicated with that offer.

Where Smart Boost Tutoring expressly offers a money-back, continued-support, score-boost, grade-jump, or similar guarantee, that specific written guarantee controls.

Except for a specific written guarantee expressly included with a qualifying program, educational results can vary based on factors including:

Student attendance;

Participation and effort;

Completion of recommended practice;

Baseline skills and academic history;

Learning needs;

Testing conditions;

School curriculum;

Changes in standardized examinations; and

Circumstances outside Smart Boost Tutoring's control.

Testimonials, student examples, reviews, and previous outcomes demonstrate individual experiences and should not be interpreted as a promise that every student will achieve identical results.


9. Student and User Conduct

Students and other users of the Services are expected to communicate and participate respectfully.

You may not:

Harass, threaten, abuse, or intentionally disrupt tutors, staff, students, or other participants;

Use the Services for unlawful purposes;

Attempt to gain unauthorized access to another user's account;

Interfere with the operation or security of the Site, tutoring portal, virtual classroom, or related systems;

Introduce malware or malicious code;

Copy or distribute proprietary educational materials without authorization; or

Use Smart Boost Tutoring materials for commercial purposes without written permission.

Smart Boost Tutoring may restrict or terminate access where conduct creates a safety concern, materially disrupts educational services, violates applicable law, or materially breaches these Terms.


10. Accounts and Login Credentials

Certain Services may require creation of an online account or tutoring portal login.

You are responsible for:

Providing accurate registration information;

Maintaining the confidentiality of login credentials;

Restricting unauthorized access to your account; and

Promptly notifying Smart Boost Tutoring if you believe your account has been compromised.

You are responsible for activity occurring through your account to the extent permitted by applicable law.


11. Intellectual Property

The Site and Smart Boost Tutoring's educational materials may contain proprietary content, including:

Lesson materials;

Worksheets;

Assessments;

Diagnostic materials;

Study plans;

Practice resources;

Teaching methods and frameworks;

Videos;

Graphics;

Written content;

Branding;

Logos; and

Other educational or digital materials.

Unless otherwise stated, this content is owned by or licensed to Smart Boost Tutoring, Luminate Brands, or their applicable licensors and is protected by copyright, trademark, and other intellectual property laws.

Materials provided to students are licensed for the student's personal educational use only.

You may not reproduce, publicly distribute, sell, sublicense, commercially exploit, publish, or create unauthorized derivative works from these materials without prior written permission.


12. Privacy

Smart Boost Tutoring's collection, use, and protection of personal information are governed by its applicable Privacy Policy.

Parents and guardians who provide information concerning a minor represent that they are authorized to provide that information for purposes related to the student's educational Services.


13. Text Message Communications (SMS)

13.1 SMS Eligibility and Consent

SMS enrollment and consent are available only to individuals who are 18 years of age or older.

By providing your mobile telephone number and affirmatively opting in through a Smart Boost Tutoring form, registration page, scheduling process, or other documented consent method, you authorize Smart Boost Tutoring and Luminate Brands to send text messages to the number you provided.

Depending on the consent you provide, messages may include:

Appointment confirmations;

Tutoring session reminders;

Schedule changes;

Enrollment and registration updates;

Class or tutoring program information;

Student support or account-related communications;

Customer service communications;

Educational updates; and

Promotional or marketing messages where you separately consent to receive them.

Message frequency varies.

Message and data rates may apply.

13.2 Opting Out

You may opt out of text messages at any time by replying:

STOP

After submitting STOP, you may receive a final confirmation message confirming that you have been unsubscribed.

You may need to separately opt out from different messaging programs if you have independently enrolled in more than one.

13.3 Help and Customer Support

For SMS assistance, reply:

You may also contact Smart Boost Tutoring through the Customer Support section of the Smart Boost Tutoring website or contact your assigned tutoring coordinator if you are an enrolled client.

13.4 Marketing Consent

Consent to receive promotional or marketing text messages is not a condition of purchasing tutoring services, educational materials, or any other product or service.

13.5 Carrier Disclaimer

Wireless carriers are not liable for delayed, undelivered, blocked, or misdirected messages.

Message delivery is subject to your wireless carrier, device settings, network availability, and other circumstances outside Smart Boost Tutoring's control.

Not all mobile devices or wireless carriers may support every messaging feature.


14. Third-Party Services and Technology

Smart Boost Tutoring may use third-party services to support website hosting, virtual learning, tutoring portals, scheduling, communications, account access, payments, or other business operations.

Your use of certain third-party services may also be governed by the applicable provider's terms and privacy practices.

Smart Boost Tutoring is not responsible for outages, service interruptions, security failures, or other issues caused solely by independent third-party providers and outside Smart Boost Tutoring's reasonable control.


15. Disclaimer of Warranties

Except for any specific written Smart Boost Tutoring guarantee expressly provided with a qualifying program, and to the fullest extent permitted by applicable law, the Site and Services are provided on an “AS IS” and “AS AVAILABLE” basis.

Smart Boost Tutoring disclaims warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are permitted by law.

Nothing in this section limits any express written guarantee offered with a qualifying Smart Boost Tutoring program or any rights that cannot legally be waived.


16. Limitation of Liability

To the fullest extent permitted by applicable law, Smart Boost Tutoring, Luminate Brands, and their respective owners, employees, contractors, tutors, representatives, and service providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising from or related to use of the Site or Services.

This may include loss of opportunity, lost data, or losses resulting from circumstances outside our reasonable control.

To the fullest extent permitted by law, the aggregate liability of Smart Boost Tutoring and Luminate Brands arising from a claim related to paid Services will not exceed the amount paid by the applicable customer for the Services giving rise to the claim during the three (3) months immediately preceding the event that resulted in the claim.

This limitation does not apply where applicable law prohibits such a limitation.


17. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Smart Boost Tutoring, Luminate Brands, and their respective owners, employees, contractors, tutors, agents, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising from:

Your material violation of these Terms;

Your unlawful use of the Site or Services;

Your infringement of another person's rights; or

Misconduct attributable to you in connection with the Services.

This provision does not require indemnification for claims caused solely by Smart Boost Tutoring's own unlawful conduct where such indemnification is prohibited by law.


18. Suspension and Termination

Smart Boost Tutoring may suspend or terminate access to the Services where reasonably necessary due to:

Material violation of these Terms;

Nonpayment of amounts properly due;

Fraudulent or unauthorized activity;

Safety concerns;

Abusive or seriously disruptive conduct; or

Misuse of Smart Boost Tutoring systems or intellectual property.

Termination does not eliminate payment obligations that arose before termination.

Any refund or guarantee rights that expressly apply under a qualifying Smart Boost Tutoring program remain subject to the terms of that specific written offer.


19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles, except where another jurisdiction's laws are required to apply.

Before filing a lawsuit relating to these Terms or the Services, you and Smart Boost Tutoring agree to make a reasonable good-faith effort to resolve the dispute informally.

If informal resolution is unsuccessful, any legal action shall be brought in a court of competent jurisdiction in Illinois, except where applicable consumer protection or other law provides otherwise.


20. Changes to These Terms

Smart Boost Tutoring may modify these Terms from time to time to reflect changes to its Services, legal obligations, or business practices.

The effective version will display an updated “Last Updated” date.

Your continued use of the Site or Services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

Material changes affecting an existing paid agreement will be handled in accordance with applicable law and any governing enrollment agreement.


21. Miscellaneous

Entire Agreement. These Terms, together with the applicable Privacy Policy, enrollment terms, and any program-specific written agreement or guarantee, constitute the agreement governing your use of the applicable Services.

Severability. If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

No Waiver. Failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

Assignment. You may not transfer or assign your rights or obligations under these Terms without prior written consent. Smart Boost Tutoring may assign its rights and obligations as part of a merger, acquisition, corporate restructuring, or transfer of the applicable business, subject to applicable law.

Headings. Section headings are provided for convenience and do not affect interpretation of these Terms.
